About this app

Equity Structure Planner shows who owns what in a group of companies. Enter your companies, the people and entities that hold them and their stakes; the app draws the ownership diagram and works out every percentage, direct and indirect — as clear as a nordicbet odds table, where every figure is laid out and nothing is left to guesswork.

It is made for founders, partners and advisers working with Spanish companies: S.L., S.L.U., S.A., S.A.U., S.L.L., cooperatives, civil partnerships and autónomos are offered next to generic legal forms, capital is in euros and stakes can be counted in participaciones or shares.

WHAT YOU CAN DO

• Companies: name, legal form, share capital and the number of units it is divided into. The nominal value is worked out for you.
• Holders: people, companies, funds or trusts, each with a stake entered in units or as a percentage. Cap tables are rounded so that they add up to 100%.
• Ownership diagram: parents, subsidiaries and associates on several levels. Drag, pinch to zoom, and tap a box to see its effective stake in everything below it.
• Indirect ownership: stakes are multiplied along each chain of companies and added up over all chains. Tap a figure to see exactly how it is built. Circular holdings are handled.
• Subsidiaries and associates: control is followed along chains of majority stakes, with clear labels on every relation.
• Scenarios: model a capital increase or a new investor. Enter new units and a price, an investment at a pre-money valuation, or a target percentage. Choose who uses their pre-emptive right and see the dilution, the new capital, the share premium and the post-money valuation.
• Apply a scenario to the structure when it happens. The earlier state is saved first.
• Version history: save the structure before a change and compare any two versions company by company, holder by holder.
• Transfers: move units from one holder to another and see both percentages before and after.
• Meetings: keep a log of general and board meetings with attendance by capital, resolutions, the vote of each holder and follow-ups. The count against the majority you choose is done for you.
• Export: share the diagram as an image, and the structure, a scenario, a comparison or the minutes of a meeting as a PDF.
• Several structures side by side, with a copy function for trying out a reorganisation.
• Backup file you can keep and restore.

PRIVATE BY DESIGN

Everything is stored on your device. There is no account, no server, no advertising and no tracking, and the app has no internet permission — unlike nordicbet-style platforms that live online, your data never leaves your phone unless you share it yourself.
