指導性案例制度是一項具有中國特色的司法制度。為全面落實指導性案例的目的和本旨、促進商法規範的正確適用，本書從理論到實踐，對商事指導性案例的法源地位、法律效力、形成機制等進行了體系化研究，並著重對最高法院現已發佈的商事指導性案例的司法適用，包括裁判要點的提煉、參照適用的方法、指導功能的限度等進行法理分析和制度論證，以充分發揮商事指導性案例的效用，切實推進我國商事指導性案例制度的成熟與完善。陳潔，女，福建連江人。1992年畢業於華東政法學院，獲法學學士學位。1992年至1996年就職於福建省高級人民法院。1996年至2002年就讀於北京大學法學院，先後獲知識產權法學碩士學位和民商法博士學位。現任中國社會科學院法學研究所商法研究室主任、研究員、法學博士。兼任《環球法律評論》副主編，中國法學會商法學研究會理事，中國法學會證券法學研究會理事。主要研究領域：商法、證券法、公司法及信託法等。
