About this ebook
本書係以代理權範圍之確定與限制為主軸而展開，並藉由該問題之研究，回顧民法與商法在私法歷史發展上之分合關係，並展望來者。本書以民事代理與商事代理有其本質上之差異為基調，分別探討民事代理與商事代理適用之情形（第一章與第三章）。其間，為確定代理權限制之概念，及其與代理基礎關係內部指示之關連，在第二章重新審視代理權授與行為無因性理論之發展及其射程距離。第四章關於表見公司經理人之研究，探討民法表見代理法則在表見公司經理人適用之情形。第五章「民商合一與民商分立」，則表明民事代理與商事代理之分合關係，正為民法與商法分合關係之縮影，並抒發對台灣民商法學發展之期盼。
