శాండిల్యమహర్షి పేరు మీద ఈ ఉపనిషత్తు మనకు దర్శనమిస్తుంది. శాండిల్యగోత్రం మనకు ఉత్తరభారతదేశంలోనూ, గోదావరిజిల్లాల లోనూ కనిపిస్తుంది. ఇది అథర్వణ వేదమునకు చెందిన ఉపనిషత్తు. ఇది క్రీ.పూ 1 వ శతాబ్దానికి చెందినదిగా కొందరు పండితులు నిర్ధారించారు. కొందరేమో క్రీ.శ 3 వ శతాబ్దమన్నారు. పతంజలిమహర్షి వ్రాసిన యోగసూత్రముల పైన బుద్ధమతప్రభావం కనిపిస్తుంది. కానీ శాండిల్య యోగసూత్రములలో ఆ ప్రభావం ఉండదు. ఇది పూర్తిగా వైదిక సాంప్రదాయానుసారిగా గోచరిస్తుంది. యోగమునూ, బ్రహ్మవిద్యనూ అధ్యయనం చెయ్యాలన్న ఇచ్ఛతో శాండిల్య మహర్షి, అథర్వణమహర్షిని ఆశ్రయించి ఆయన వద్ద పొందిన ఉపదేశమే ఈ ఉపనిషత్తు. యోగసాంప్రదాయం పైన ఇది సాధికారిక గ్రంథమని చెప్పవచ్చు.
