Over the past few decades, significant changes have occurred across capital markets. Shareholder activists have become more prominent, institutional investors have begun to wield more power, and intermediaries like investment advisory firms have greatly increased their influence. Steven Davidoff Solomon is professor at the University of California, Berkeley, School of Law, where he is also faculty director of the Berkeley Center for Law and Business. He is a former weekly columnist for the New York Times DealBook. Randall Stuart Thomas is the John S. Beasley II Chair in Law and Business and director of the Law and Business Program at Vanderbilt Law School.
