Mit der Aktienrechtsnovelle 2011 will die Bundesregierung die Finanzierungsmöglichkeiten von Unternehmen verbessern. Deswegen soll es künftig möglich sein, "umgekehrte Wandelschuldverschreibungen" zu begeben. Zudem können Vorzugsaktien emittiert werden, bei denen die Pflicht zur Dividendennachzahlung entfällt. Ein weiterer Aspekt der Novelle ist die Bekämpfung von Geldwäsche.
